I am getting Kernel32.dll error on my Windows XP Pro. What could be the possible reasons? Please help.?

Installed Windows 2k pro, kernel32.dll had error. It keeps restarting the setup-can't get past that. Help

Q: It continually restarts the computer. I have tried F8 and it's options but I can't get nearby the Windows startup. It automatically reboots the computer. I have another CD to load the program without the eroor but I can't stop the restart or get to the swift.
A: go into bios and indicate you cd-rom the boot drive
